Terms of Service

These Terms of Service ("Terms") govern your access to and use of the sneak.market website and inventory management service (the "Service"), operated by The BK Reseller LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

Short version: the Service is a B2B inventory tool for sneaker resellers. Use it lawfully, keep your credentials safe, don't abuse it. It's provided "as is." We can end the arrangement, and so can you.

1. Who can use the Service

You must be at least 18 years old and legally able to enter into a contract.
You are using the Service for business purposes, not as a consumer. sneak.market is designed for sneaker resale businesses (whether sole traders or incorporated).
If you use the Service on behalf of a company or organization, you represent that you are authorized to bind it to these Terms.
You are not on any government sanctions list and not located in a country subject to a U.S. embargo.

2. Your account

You must provide accurate information at signup and keep it up to date.
You are responsible for keeping your password secure and for all activity under your account.
Notify us immediately at [email protected] if you suspect unauthorized access.
One person or business per account. Do not share a single account across a team unless we have agreed to it in writing.

3. The Service

sneak.market provides tools to track sneaker inventory (scan in, scan out, stock check), display third-party market data (currently from StockX), and generate analytics. Features may be added, changed, or removed over time.

We aim for high uptime but do not guarantee the Service will be uninterrupted or error-free. We may perform maintenance from time to time.

4. Fees, free tier, and paid features

The Service is currently offered on a free tier. You can create an account and use core inventory features at no cost, subject to usage limits.
We may introduce paid plans or paid features in the future. If a paid feature is added, you will be told the price and terms before you are charged. You will never be charged without first agreeing.
Once paid plans are live, we will publish pricing at sneak.market and any additional payment terms will apply.
You are responsible for all applicable taxes on any fees.

5. Cancellation and termination

You can cancel your account at any time from your account settings, or by emailing us.
If you cancel a paid plan, your paid access continues until the end of the current billing period. See our Refund Policy.
We may suspend or terminate your account if you breach these Terms, if we are required to by law, or if we discontinue the Service. Where possible, we will give you notice.
After cancellation or termination, we retain your data for up to 60 days so you can restore or export it, then delete it. See our Privacy Policy.

6. Acceptable use

You agree not to:

Use the Service to break any law, infringe any rights, or facilitate fraud.
Attempt to reverse engineer, decompile, or extract source code from the Service.
Scrape, mass-download, or automate the Service beyond the tools we provide.
Introduce malware, exploit vulnerabilities, or attempt to interfere with the Service.
Impersonate any person or misrepresent your affiliation.
Resell, sublicense, or repackage the Service without our written permission.
Use the Service to store or process any special-category personal data (health, biometric, financial account credentials, government IDs) — the Service is not designed for that.

7. Your data and content

You own the inventory data you enter. We claim no ownership over your business data.
You grant us a limited license to store, process, and display your data solely to provide the Service to you.
You are responsible for making sure you have the right to input any data you upload, and that your use of the Service complies with applicable laws (including any obligations you have to your own customers).
We will not access, use, or share your business data except as needed to operate the Service, to comply with law, or with your instruction.

8. Third-party data and services

The Service displays third-party data (for example, market pricing from StockX). We do not guarantee the accuracy, completeness, or timeliness of third-party data. Trading decisions you make based on this data are entirely at your own risk. Third-party data is provided by its owners under their own terms — check them if you plan to rely on the data commercially.

9. Our intellectual property

The Service — its software, design, brand, and content (excluding your business data) — is owned by The BK Reseller LLC and its licensors. These Terms do not grant you any rights in our intellectual property beyond the limited license to use the Service.

10. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY THIRD-PARTY DATA WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BK RESELLER LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) US$100.

Some jurisdictions do not allow certain limitations — those parts do not apply to you.

12. Indemnification

You agree to indemnify and hold harmless The BK Reseller LLC from any third-party claims arising out of your use of the Service, your business, your breach of these Terms, or your violation of any law.

13. Changes to the Service and to these Terms

We may modify the Service or these Terms at any time. If we make material changes to the Terms, we will notify you by email or through the Service. Continued use after changes take effect means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in New York, and you consent to their jurisdiction and venue.

Nothing in these Terms affects statutory rights that cannot be waived under the mandatory law of your country of residence.

15. Miscellaneous

If any provision of these Terms is held unenforceable, the rest remains in effect.
Our failure to enforce a provision is not a waiver of the right to enforce it later.
These Terms are the entire agreement between you and us regarding the Service.
You may not assign these Terms without our written consent. We may assign them, for example in a corporate reorganization.
